Welcome to KasaMD! These Terms and Conditions govern your use of the KasaMD platform and services (the "Service") provided by Kasa Labs ("Company", "we", "our", "us"). Please read them carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not accept these Terms, do not use the Service.

Important Notice: Development Version

KasaMD is currently in active development and is provided as a demonstration and research platform. The platform is not yet a final product and should be used for evaluation and testing purposes only. Features, functionality, and security measures are subject to change as we continue to develop and improve the platform. This platform is not intended for use with live patient data or in clinical settings at this time. By using this platform, you acknowledge and accept that it is a prototype under active development.

1. About KasaMD

Platform Overview

KasaMD, a product of Kasa Labs, is a healthcare technology platform that provides AI-powered medical documentation services for healthcare providers. The platform includes features such as medical transcription, clinical note generation, patient management capabilities, and session-based documentation workflows.

Intended Users

The Service is intended for use by healthcare professionals only, including physicians, nurses, and other licensed medical practitioners for demonstration and evaluation purposes.

Current Status

The platform is provided "as is" as a demonstration and research tool. It is not approved for clinical use, does not constitute a medical device, and should not be used with live patient data or for actual clinical documentation at this time.

2. Accounts and Registration

Account Creation

To access KasaMD, you must register for and maintain an account. By creating an account, you confirm that you possess the legal right and ability to enter into a legally binding agreement with us and agree to use the Service only in accordance with these Terms.

Registration Information

During registration, you will need to provide information including your full name, email address, professional credentials, medical specialty, and organization information. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

Account Restrictions

You may not: (a) share your account credentials with others; (b) allow others to access your account; (c) create an account using false or misleading information; or (d) create multiple accounts for the same individual.

3. User Eligibility

Age Requirement

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.

Professional Credentials

Use of the Service is restricted to licensed healthcare professionals or individuals authorized to access medical documentation tools in an educational or research capacity. You represent that you have the necessary credentials, licenses, or authorizations to use the Service for your intended purpose.

Geographic Restrictions

The Service may not be available in all geographic locations. We reserve the right to restrict access to the Service in certain jurisdictions without notice.

4. Scope of Services

Core Features

The Service currently provides the following features in a demonstration capacity: (a) AI-powered transcription of medical consultations; (b) clinical note generation and documentation; (c) patient management and session tracking; (d) medical terminology recognition; and (e) customizable note templates and formats.

Service Modifications

We may, in our sole discretion: (a) modify, update, or discontinue any features or functionality of the Service; (b) add new features, which may be subject to additional terms; or (c) temporarily or permanently suspend the Service for maintenance or improvements. Such modifications may occur without prior notice.

No Guaranteed Availability

We do not guarantee that the Service will be available at all times or free from interruptions. The Service may experience downtime, errors, or performance issues, particularly given its development status.

5. Fees and Payments

Current Pricing

The Service is currently provided free of charge during the development and demonstration phase. We reserve the right to implement subscription fees or other charges in the future with reasonable advance notice.

Future Fee Structure

If we implement fees in the future, you will be notified in advance. Continued use of the Service after the implementation of fees will constitute acceptance of such fees. You will have the option to discontinue use of the Service if you do not wish to pay the fees.

No Refunds

Given the demonstration nature of the Service, we do not currently offer refunds. Any future paid services will have their own refund policies as specified at the time of purchase.

6. User Responsibilities and Obligations

Compliance with Laws

You must comply with all applicable laws, regulations, and professional obligations in connection with your use of the Service, including but not limited to healthcare privacy laws (HIPAA, GDPR), medical practice regulations, and professional licensing requirements.

Accurate Information

You agree to: (a) provide true, accurate, current, and complete information; (b) not impersonate any person or entity; (c) not misrepresent your identity or affiliation with any person or entity; and (d) not provide false or misleading information to the Service.

Appropriate Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not use the Service: (a) in any way that violates any applicable law or regulation; (b) to transmit or procure the sending of any advertising or promotional material; (c) to impersonate or attempt to impersonate the Company or another user; (d) to engage in any conduct that restricts or inhibits anyone's use of the Service; or (e) to otherwise engage in any harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable conduct.

Data Accuracy

You are solely responsible for the accuracy, quality, and legality of any data you input into the Service. You must not upload or enter: (a) any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; (b) any content that infringes upon intellectual property rights; or (c) any content containing viruses or other harmful code.

7. Professional Use and Medical Disclaimer

No Medical Device

The Service does not constitute or purport to be a medical device. It has not been evaluated or approved by the FDA or any other regulatory agency for medical use. The Service is provided for demonstration, research, and evaluation purposes only.

No Medical Advice

The Service does not provide medical advice, diagnosis, or treatment recommendations. Any output generated by the Service, including transcriptions, clinical notes, or documentation, is provided solely for administrative and demonstration purposes and requires professional review and verification before any clinical use.

Professional Judgment Required

Healthcare professionals using the Service remain solely responsible for all medical decisions, diagnoses, and treatments. The accuracy of transcriptions and generated content depends on various factors including audio quality, speaking clarity, background noise, and technical limitations of AI technology. You must exercise final professional and medical judgment in all patient care decisions.

No Clinical Use

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (a) the Service is not intended for use with live patient data; (b) the Service should not be used for actual clinical documentation at this time; (c) any content generated by the Service must be thoroughly reviewed by a qualified healthcare professional before any use; (d) the Service does not replace professional medical judgment or expertise; and (e) you must not rely on the Service for any patient care decisions.

No Warranty of Medical Accuracy

We make no representations or warranties with respect to any treatment, action, suitability, or application of medication or preparation, whether based on Service outputs or otherwise. We expressly disclaim any responsibility for medical outcomes.

8. Data and Privacy

Privacy Policy

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

No PHI or Live Patient Data

Given the demonstration status of the Service, you must NOT enter, upload, or otherwise provide any Protected Health Information (PHI), live patient data, or any information that could identify actual patients. Any violation of this provision may result in immediate termination of your account.

Demo Data Only

You may only use the Service with fictional, anonymized, or de-identified demonstration data. You are responsible for ensuring that no actual patient information is entered into the Service.

Data Security

While we implement reasonable security measures to protect data, we cannot guarantee absolute security. You acknowledge that you transmit data to the Service at your own risk and that we are not responsible for unauthorized access to or alteration of your data, except where caused by our gross negligence or willful misconduct.

Data Retention and Deletion

We may retain data you provide to the Service for the duration of your account and for a reasonable period thereafter. You may request deletion of your data by contacting us at [email protected], subject to our legal retention requirements and the limitations described in our Privacy Policy.

De-identified Data Use

We may de-identify information provided to the Service and use such de-identified data for purposes of improving the Service, developing new features, and research, as described in our Privacy Policy. You acknowledge that de-identified data may be used and disclosed to third parties as part of Service functionality.

9. Intellectual Property

Our Rights

Unless otherwise indicated, we own or license all rights, title, and interest (including copyright, patents, trademarks, and other intellectual property rights) in the Service and all content, features, and functionality made available through the Service ("Service Content"). The Service and Service Content are protected by copyright, trademark, and other intellectual property laws.

Limited License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for demonstration and evaluation purposes in accordance with these Terms. This license does not include the right to: (a) modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Service Content; (b) use any automated system to access the Service; or (c) reverse engineer, decompile, or disassemble any aspect of the Service.

Your Content License to Us

By submitting, uploading, or otherwise providing content to the Service ("User Content"), you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit such User Content for purposes of operating and improving the Service. This license continues even after you stop using the Service, except for personal data which is governed by our Privacy Policy.

Feedback

If you provide feedback, suggestions, or recommendations about the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate such Feedback into the Service without compensation or attribution to you.

Trademarks

KasaMD, Kasa Labs, and all related logos, trademarks, and service marks are the property of Kasa Labs or our licensors. You may not use these marks without our prior written permission.

10. AI Technology and Accuracy Disclaimer

AI Technology

The Service utilizes artificial intelligence and machine learning technologies. You acknowledge that these technologies: (a) are probabilistic in nature and may produce inaccurate, incomplete, or inappropriate outputs; (b) may "hallucinate" or generate content that is not based on the input provided; (c) may misinterpret medical terminology, context, or speaker attribution; and (d) are subject to limitations inherent in current AI technology.

No Accuracy Guarantee

We do not warrant or guarantee the accuracy, completeness, reliability, or appropriateness of any content generated by the Service. Transcriptions, clinical notes, and other outputs may contain errors, omissions, or inaccuracies due to factors including but not limited to: (a) audio quality and background noise; (b) speaker accent, dialect, or clarity; (c) complex or unusual medical terminology; (d) AI model limitations; or (e) context misunderstanding.

Mandatory Review Required

YOU MUST REVIEW AND VERIFY ALL SERVICE OUTPUTS BEFORE ANY USE. The Service is designed to assist with documentation, not to replace professional review. You are solely responsible for ensuring the accuracy and appropriateness of any content before it is used, stored, or acted upon.

Continuous Improvement

We are continuously working to improve the accuracy and reliability of the Service. However, you acknowledge that as a development platform, the Service may contain bugs, errors, or incomplete features, and that outputs may change as we refine our AI models.

11. Prohibited Uses

General Prohibitions

You may not use the Service to: (a) violate any laws, regulations, or third-party rights; (b) transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content; (c) impersonate any person or entity; (d) interfere with or disrupt the Service or servers or networks connected to the Service; (e) attempt to gain unauthorized access to any portion of the Service; (f) use any robot, spider, scraper, or other automated means to access the Service; (g) reverse engineer, decompile, or disassemble any aspect of the Service; or (h) remove, circumvent, disable, damage, or otherwise interfere with security-related features of the Service.

Clinical Use Prohibition

You specifically may not: (a) use the Service with live patient data or Protected Health Information; (b) use Service outputs for actual clinical decision-making without thorough professional review; (c) represent the Service as a medical device or clinically validated tool; (d) rely on Service outputs as medical advice or recommendations; or (e) use the Service in any clinical setting or for patient care purposes.

Commercial Restrictions

You may not: (a) sell, rent, lease, or sublicense access to the Service; (b) use the Service to develop competing products or services; (c) use the Service for commercial purposes beyond evaluation without our express written consent; or (d) extract data or content from the Service for competitive purposes.

12. Limitation of Liability and Disclaimers

"As Is" Provision

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Development Platform Disclaimer

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE SERVICE IS IN DEVELOPMENT AND PROVIDED FOR DEMONSTRATION PURPOSES ONLY. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR APPROPRIATENESS OF ANY SERVICE OUTPUTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KASA LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (a) YOUR USE OR INABILITY TO USE THE SERVICE; (b) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (c) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (d) ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE; (e) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT; OR (f) THE CONDUCT OF ANY THIRD PARTY ON THE SERVICE.

Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED $100 USD OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

Medical Disclaimer

WE ARE NOT LIABLE FOR ANY MEDICAL DECISIONS, DIAGNOSES, TREATMENTS, OR OUTCOMES BASED ON OR INFLUENCED BY THE USE OF THE SERVICE. YOU ASSUME ALL RISK ASSOCIATED WITH USING THE SERVICE IN ANY MEDICAL OR HEALTHCARE CONTEXT.

Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you.

13. Indemnification

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Kasa Labs, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) any content you submit, post, or transmit through the Service; (e) your violation of any applicable laws or regulations; (f) any medical decisions or patient care activities related to your use of the Service; (g) any breach of your professional obligations; or (h) any claim that your use of the Service caused harm to a patient or third party.

Our Right to Control Defense

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

14. Suspension and Termination

Termination by You

You may terminate your account at any time by: (a) contacting us at [email protected]; (b) using account deletion features within the Service (if available); or (c) ceasing to use the Service. Termination does not relieve you of any obligations incurred prior to termination.

Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, and without liability to you. Specific grounds for termination include but are not limited to: (a) violation of these Terms; (b) use of the Service with live patient data or PHI; (c) fraudulent, abusive, or illegal activity; (d) extended periods of inactivity; (e) requests by law enforcement or other government agencies; or (f) discontinuation of the Service.

Effect of Termination

Upon termination: (a) your right to use the Service will immediately cease; (b) we may delete your account and data in accordance with our data retention policies; (c) all licenses granted to you will terminate; (d) provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Data After Termination

Following termination, we may retain certain data as required by law or for legitimate business purposes. You may request a copy of your data before termination by contacting us at [email protected]. We are not obligated to store or provide access to data after termination.

15. Updates to Terms

Right to Modify

We reserve the right to modify these Terms at any time. We will notify you of material changes by: (a) posting the updated Terms on the Service with a new "Last Updated" date; (b) sending an email to the address associated with your account; or (c) providing notice through the Service interface.

Notice Period

For material changes that substantially affect your rights or obligations, we will provide reasonable advance notice, typically 30 days, before the changes take effect. For non-material changes, updates may take effect immediately upon posting.

Acceptance of Changes

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

Right to Terminate

If we make changes that materially and detrimentally affect your use of the Service or your rights under these Terms, you may terminate your account within 30 days of receiving notice of the changes.

16. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of Delaware for the resolution of any disputes arising out of or related to these Terms or the Service.

Waiver of Class Actions

YOU AND KASA LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Informal Resolution

Before filing any formal legal action, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good faith negotiations for a period of at least 30 days.

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Kasa Labs regarding the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.

Independent Contractors

The parties are independent contractors. These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Kasa Labs.

Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Notices

Notices to you may be made via email to the address associated with your account or by posting on the Service. Notices to us should be sent to [email protected]. Notice will be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid.

Export Control

The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations in your use of the Service.
